Refer a Business - Terms & Conditions

The following terms and conditions constitute a contract (?Agreement?) between you and Xfers Pte. Ltd. (“Fazz”) in relation to the ?Refer a Business? Campaign (?Campaign?). If you do not agree to be bound by the terms and conditions of this Agreement, please do not use or access our Services, or participate in the Campaign described below.

You have read, agreed with, and accepted all of the terms and conditions contained in this Agreement and the Privacy Policy (https://fazz.com/sg/privacy-policy/fazz-biz/pp-sg/), which include those terms and conditions expressly set out below and those incorporated by reference. We strongly recommend that, as you read this Agreement, you also access and read the information contained in the other pages and websites referred to in this Agreement, as they may contain further terms and conditions that apply to you. By accepting this Agreement, you also agree that your use of other Fazz websites and Services will be governed by the terms and conditions posted on those websites.

By accepting this Agreement, you represent that you are a new or existing customer who:

• a. is either a private limited company incorporated in Singapore, a limited liability partnership established in Singapore or a sole proprietorship established in Singapore, in each case, who has opened a Fazz Business Account (each, a ?Corporate Customer?); or
• b. is an individual resident in Singapore (an ?Individual Customer?).

Please note that you are only eligible for the Refer a Business Campaign if you meet the requirements of a referral as set out in this Agreement.

Definitions:

• Promotional Period ? From 1 December 2022 (2000hrs SGT) to 30 December 2023 (2000hrs SGT)

New Account Referral Rewards

1. During the Promotional Period, for each successful referral of a New Customer (“New Business Account”) that:
   • Condition (1): Successfully opens a new Fazz Business Account;
   • Condition (2): Successfully has their Fazz Business Account verified by Fazz;
   • Condition (3): Inputs your (the referrer?s) business name into the contact form as the referrer; and
   • Condition (4): Makes at least one (1) transaction.

     2. If all of the above conditions are satisfied:

• (a) you will receive a S$100 credit in your Fazz Business Account if you are a Corporate Customer; and
• (b) you will receive S$100, credited to the bank account that you have notified to us, if you are an Individual Customer.

Loan Referral Rewards

1. During the Promotional Period, for each successful referral of a New Customer (?New Financing Account?) that:
   • Condition (1): Successfully opens a new Fazz Business Account;
   • Condition (2): Successfully has their Fazz Business Account verified by Fazz;
   • Condition (3): Inputs your (the referrer?s) business name into the contact form as the referrer;
   • Condition (4): Uses Fazz payment link for any Fazz financing products including loan products;
   • Condition (5): Successfully has the financing products approved and accepted by Fazz; and
   • Condition (6): Successfully has the financing products including loans disbursed into the New Customer Fazz Business Account.

     2. If all of the above conditions are satisfied:

• (a) you will receive a S$150 credit per successful Fazz Referred Financing Account in your Fazz Business Account if you are a Corporate Customer; and
• (b) you will receive a S$150 credit per successful Fazz Referred Financing Account, credited to the bank account that you have notified to us, if you are an Individual Customer

T&Cs

1. This offer is only valid for Corporate Customers and Individual Customers.
2. The rewards and offers in this program are offered by Fazz.
3. Goods and Services Tax and Regulatory Fees may be charged during the Promotional Period.
4. No person should have more than one Fazz Business Account. As communicated during the account opening process and in your declaration, you agree and acknowledge that no person, including yourself, is permitted to open a business account on behalf of another person (i.e. we do not allow non-beneficial ownership of accounts). You shall not use your Fazz Business Account for the benefit of any other person.
5. In its sole and absolute discretion, Fazz reserves the right to amend the terms of this Campaign at any time.
6. New Customers can only open one (1) Fazz Business Account per business entity with us and agree to all existing terms and conditions in the customer agreement, as well as the terms and conditions of this campaign, or any other promotions, events, or campaigns. If the New Customer?s Fazz Business Account shows any signs of fraud, abuse, wilful misconduct, wilful concealment or suspicious activity, e.g. using multiple accounts or devices, or non-genuine transactions, Fazz has the right, in its sole discretion, to revoke, forfeit or clawback your rewards and limit your chance to participate in future promotions.
7. Fazz reserves the right to amend or terminate the Campaign at any time without prior notice. Other restrictions may apply and will be posted on the Fazz website prior to effectiveness.
8. You shall indemnify and hold harmless Fazz in respect of any and all damages, losses (including consequential losses and special damages), costs (including costs on a full indemnity basis), expenses, claims, proceedings or actions suffered or incurred by Fazz, by reason of any breach or non-compliance by you of this Agreement.
9. You agree that to the maximum extent permitted by law, you will not hold Fazz liable whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, or any indirect or consequential loss arising under or in connection with the Agreement.
10. This Agreement shall be governed by and construed under the laws and regulations of Singapore.
11. For the purposes of the Contracts (Rights of Third Parties) Act 2001, this Agreement is not intended to and does not give any person who is not a party to it any right to enforce any of its provisions. However, this does not affect any right or remedy of such a person that exists or is available apart from that Act.
12. The failure or delay of Fazz to enforce any of the provisions of this Agreement or to exercise any rights or remedies under this Agreement shall not be construed as a waiver or relinquishment to any extent of Fazz?s rights. In the event that any provision of this Agreement shall be determined to be void, invalid or otherwise unenforceable by any court or tribunal of competent jurisdiction, such determination shall not affect the remaining provisions hereof which shall remain in full force and effect.
